When you take a loan from an institutional lender and sign on the line or when you vote for that regional senator or politician and don’t stay on top of their agenda you are pinning the hands of our children behind their backs and marching them, one after the other, off the cliff to their doom.

I loathe anti-establishment hippies who have a mortgage and credit card with top tier banks, these fraudulent ‘tree huggers for hire’ are a major reason we are in this mess. Outwardly they act as if they despise the establishment yet behind closed doors they enable a system that desecrates on the souls of our youth.

To be able to change the system, one must first become part of the system. The problem with blending into the system with intent to change things is that most aren’t strong enough to turn a blind eye to the corruption that absolute power brings.

It’s common knowledge that politicians philander and survive on the take of corruption. They kiss babies, take their picture with supporters but behind closed doors their vampire traits come to the surface as these behind closed doors agendas strip the rights of the people of this country but you just stand there and do nothing. Sign on the dotted line, get that loan for your business and hang our children up to dry, it’s all so easy. Here is an idea, take the power from the politicians and crooked institutional bloodsuckers and take the fate of your company in your own hands. If you have a real viable business offer it up to the people.

I am forever ringing this bell and standing on the soapbox screaming this concept to whoever will listen, “You, reader, do not need a bank to fund your company”. What is it about this concept that you don’t understand. I’m not telling you to lobby venture capital firms that would demand a pound of flesh for every dollar they put into your company. There is a much easier way. You have, at your disposal two concepts that can transform your world in an instant while building massive wealth for your children: Private Placement Memorandums and Over The Counter Bulletin Boards.

A PPM allows you to stay within SEC guidelines while selling an equity interest in your company to investors for cash and services. You would be shocked at how effective this process can be for raising capital. But take it one step forward. You’ve raised money to expand your business now stabilize your corporation by going public on the OTCBB. Tell your local politician and banker to take a hike, seek Christ and repent and whenever you vote for a political scumbag in the future, hold them to every word and call them on every lie and make it as public as possible! I will now step off my soapbox.

I’ve been involved with more mergers and acquisitions and IPOs than I can even count. I’ve been called many names when I’m getting involved with corporate turnaround consulting but the most common of these terms are: arrogant, cocky and hardheaded. I take these names as a feather in the cap and a notch on the belt because the worst thing that can happen is that a company or board of directors hires a wimp or pushover. Having swagger when walking into a negotiation session or presentation makes all the difference. Refuse to lose and have the contacts to back up your moves.

Solar panel manufacturers and executives take note…it’s ok to be cocky of you can back it up with performance. My clients love me. The people on the receiving end of my firm’s negotiations hate me (until they hire me on their next project). My hate of losing exceeds my love of winning and I’ll never stop until the clients pull me off of the project or until the transaction is done. This mentality is a must for today’s executive and corporate consultant.

I’m not saying this to impress anyone or to get more business. I’m trying to express to new CEOs of public companies and pre public companies that you have to be fierce. When you step in a room everyone has to feel it. Your presence has to be loathed by some and the epitome of curiosity by others. Keep them guessing.

Demonstrate loyalty to your client and make competitors fear being on the receiving end of your attention and above all, be calculated with your moves and stealthy with your strategy. Don’t speak until you can level the room with what you have to say and understand the reality that for every action there will be a reaction and for every strategic move you make on your clients behalf, there will be countermeasures taken by the opposition.

It’s ok to stay up at night distracted by ideas that will press the throttle peddle on behalf of your client. It’s a forgivable sin to force-feed strategies and alliances to your client that will help them get a competitive edge over their competition. And above all remember this, at the end of the day in global commerce the winning side achieves more than domination but the ability to keep and create jobs and grow through acquisition which creates more jobs and profitability. Arrogance and the refusal to lose is the beginning of this entire process. Get it or get out!

Investors who are able to achieve higher yields on their investments take a different approach to growing their portfolio than most. Of course they use a broker and/or investment adviser for information on transactions but will typically make their investment decisions based off of their own collective research.

The reality is the few that have gained a comprehension for seeking out and getting involved with trades that open the floodgates to massive profits use their own money and operate as part of a small, tight knit group. It isn’t at all out of the ordinary to buy seed stock at 50 cents and have that stock gain in value of $1.00 to $1.50 when the company goes public and yes, you just made 50 cents to $1.00 net profit on each share (note: seed prices and opening prices vary). The great thing is you can often invest as a seed investor with as little as $5,000 to $10,000. If you have more capital you can spread it out over multiple pre-IPO opportunities. I am constantly getting calls from CEOs of public companies whose stock has plummeted to the point of no rebound. When I ask them what promotional or investor relations strategies they have in place to support their per share price goal, there is always silence on the other end of the line. It’s shocking to me that a well pedigreed executive can move up through the corporate ranks from executive to VP and to CEO and not have a clue as to how to run a public company properly.

For executives reading this, you obviously are doing the necessary due diligence required to initiate a strategic plan and keep your volume trading. As a global strategies consultant, typically, by default, I have to take a company public in order for them to meet their growth requirements as designated by their board of directors.

If you are going public on the OTCBB (Over The Counter Bulletin Boards) for example, you’ll want to start general corporate branding pretty heavy when the S1 comments stage is completed. You’ll want to take advantage of viral media such as but not limited to: video, unique article submission, press releases, social and news bookmarking and don’t forget the Linkedin, Myspace, Facebook and Twitter. The collective combination of promotional genres in the above will give you the initial foundation to start your Investor Relations campaign post public.

Keep in mind you want to promote your company in a general fashion as opposed to stepping into a gray area which the SEC would consider outside of securities compliance. Next, about two weeks after your viral crusade has been initiated, phase two would be using traditional tactics for publicity, mainly TV, radio and inter industry periodicals. These promotional mediums should ring with the ‘expert’ theme. You’ll have your publicist solicit the editor, writer, journalist, etc and get you a seat on an expert panel to discuss the hot topics that have to do with your industry. It’s not a company advertisement, it’s better. You are demonstrating your high level of expertise and throughout the gig they are referring to you in name and as the CEO of XYZ Inc.

Now, after your market maker has filed form 211 and FINRA has issued a trading symbol, this is when the real work begins. Don’t hire an investor relations service, hire a full service IR strategies consultant. It may sound like the same thing but believe me, the difference is night and day. A strategist has a massive portfolio of contacts to create your market quick and get your stock trading. You don’t want pump and dump, email/newsletter promoters, if you hire one then you’re a chump and you deserve the failure that you’re sure to experience. You’ll be sucked into the black hole of no return faster than you can say pink sheets (By the way, if you’re going public don’t even waste your time with pink sheets. Serious investors will never buy and hold that Wild West stock).

The basic strategy your consultant will put in place will be a combination of phone room promotion to market makers and investors to announce your stock and give verbal presentations in a non pushy manner (with a phone room you just want to have a friendly voice that gives free information and then tell them to check out the stock and call their broker or you can introduce them to one but don’t hire a boiler room as that’s the kiss of death to any new public entity). Next you want to email announcements to your pre public investor base and industry insiders to get the hype machine going. Get people talking about your stock, potential acquisitions, your new product or service, a new strategic partner you’ve signed with, a new distribution channel, anything, just get them talking about you. You’ll also want to keep your viral and traditional publicity mechanisms in place. Write press releases announcing the above and have your consultant and/or publicist start pushing them to major journals, newspapers and high traffic blogs and websites and always make yourself available for comments and/or questions. With all of your promotional properties you must get in the habit of collecting email addresses and contact info and on a weekly basis a chunk of your advertising budget must go toward snail-mail post card promotion, phone call meet and greets and email updates.

The above is a very basic intro or Investor Relations 101 to help you start putting a strategy together or at the very least it will help you interview investor relations strategies consultants in an intelligent and informed manner.

Yep! Quite a mouthful but let it sink in. Don’t you get angry when you see that the reason for this economic collapse was because the Fed started calling in debt from banks using their fractional reserve system of finance and that they were fully aware of the global repercussions of their actions? If you are losing your home to foreclosure have you taken a closer look at the process in which your bank acquired the funds to loan you the money and where you ticked off when you realized that there was no financial exchange at all only a transfer of numbers on a screen?

It’s time that everyone wakes up. Whether you’re trying to raise debt or equity capital there are still certain unwritten rules that apply that cater to the mentality of today’s investor and funding community. Certainly there are scores of private placement memorandum and business plan chop shops that wouldn’t know how to properly consult with your company or write a fundable document even if they wanted to but they will gladly take your money to throw together a template and try to pass it off as custom work.

The issue is this, it’s not necessarily the consultant, though these fly-by-nights shoulder a large portion of the blame, but the client usually doesn’t even have the proper structure in place to attract a funding source even if they had the most incredible PPM and business ever to hit the venture capital marketplace. Here is a simple (very basic) way to evaluate your company to find out if you are properly structured to attract capital.
